Biography

Douglas Sayuk is a Managing Director with Alvarez & Marsal Taxand, LLC, in Silicon Valley. He specialises in providing corporate tax advisory and restructuring services to multinational public and private equity/venture-backed companies. With more than 20 years of experience, Mr. Sayuk advises multinational companies in accounting for income taxes (ASC 740), tax function performance improvement, and through transactional events such as public offerings, acquisitions, restructurings, re-capitalisations, divestitures and bankruptcies.

 

Mr. Sayuk has deep experience in complex tax provision issues including global structuring, business combinations (ASC 805), fresh start accounting (ASC 852) and carve-outs. His federal tax expertise includes tax attribute preservation, debt modifications, bankruptcy tax procedure, transaction cost deductibility, audit defense, consolidated returns and liquidating trusts. Mr. Sayuk also advises clients on generation of tax liquidity, tax process efficiencies and internal control best practices.

 

Prior to joining A&M, Mr. Sayuk was the founding and managing partner of Clifton Douglas, a boutique Silicon Valley firm specialising in corporate tax accounting and advisory services. During this time, he served as lead tax advisor in numerous IPOs, acquisitions, re-organisations and other complex transactional matters. Previously, Mr. Sayuk served in a leadership role with the tax accounting services practice at PricewaterhouseCoopers in Silicon Valley, where he advised both Fortune 500 and growth companies.

 

Mr. Sayuk earned a bachelor’s degree (with highest honors) in accounting and the business honors program from the University of Texas at Austin, a master’s degree in professional accounting and a minor in economics. He is a Certified Public Accountant (CPA) in Texas and California. Mr. Sayuk has also been published in several prestigious accounting journals and led national trainings on tax provision topics.
