Andy Greenwood is based in Taxand UK where he is a Managing Director with Alvarez & Marsal Taxand UK, LLP in London. Andy focuses on corporate and international corporate tax, with primary areas of concentration in mergers and acquisitions, demergers, corporate reorganisations and reconstructions, and structuring international corporate groups.
With more than 30 years of tax experience, Andy has looked after the tax affairs of a full range of clients from small- and medium-sized companies and entrepreneurs to major multinational groups. For the past 10 years, he has focussed on the complex transactions and tax structures of large- and medium-sized quoted and unquoted groups and private equity houses.
Andy has worked with clients across various industries, including manufacturing, pharmaceutical, entertainment, advertising, software, media and telecoms. Some of his notable assignments include: the tax aspects of the restructuring of MCIWorldCom's European operations whilst it was in Chapter 11; reorganising the UK subsidiaries of Hollinger Inc. to facilitate the sale of the Daily Telegraph, followed by the repatriation of the proceeds to the U.S.; the reorganisation and sale of the radio towers business of NTL; vendor due diligence on the reorganisation and sale of the branded food and motorway service businesses of Compass; the demerger of Babcock from FKI; BBA's acquisition of Holvis (the first hostile bid in Switzerland) and subsequent restructuring of the Holvis Group to achieve tax synergies with the rest of BBA; the European aspects of the spin off of JI Case from Tenneco; the merger of ITV and Carlton; the merger of Reckitt and Colman with Benkiser; and the acquisition of Warner Music by Thomas Lee.
Prior to joining the UK Taxand practice, Alvarez & Marsal Taxand UK LLP, Andy spent six years as a director with the M&A tax practice of KPMG in London. Before that, he was a tax partner with Arthur Andersen for 22 years in Leeds, Cambridge and London. At Arthur Andersen, Andy was elected to the partnership Council and was a member of the technical think tanks dealing with new ideas, inbound and outbound group taxation and reorganisations. He helped devise the Institute of Chartered Accounts courses on Demergers and Reorganisations and was a speaker on all the courses given from 1981 to 2002. He was the joint author of the guide to the 1979 US \ UK tax treaty, which became the standard work on the subject, published by Tolleys, with the author named as Arthur Andersen.
Andy gained a first class honours degree in geography from University College, Oxford, and was later awarded a master's degree. While at Oxford, he was a Freeston Scholar. He is a fellow of the Institute of Chartered Accountants in England and Wales.
