Roman Stepanenko

Roman is based in Taxand Ukraine where he is a Partner of EPAP&P. He advises leading Ukrainian companies and multinational corporations on all aspects of Ukrainian finance, banking law and securities regulations as well as legal aspects of subsoil use and energy sector operations in Ukraine. Special focus of Roman’s expertise is on capital markets transactions, project finance, complex financial restructurings and derivative instruments.

Roman has particular experience in advising clients on capital markets deals (including debt and equity markets) and structured finance products. He assists clients with direct Eurobond issues by Ukrainian sovereign and quasi-sovereign borrowers, LPN and CLN issues by Ukrainian corporate borrowers and commercial banks. Roman leads teams of attorneys advising Ukrainian issuers and arrangers on initial public offerings of shares on major European stock exchanges, as well as on Ukrainian law matters of GDR programmes for Ukrainian corporates.

Roman assists Ukrainian corporate borrowers and international investment banks and other financial institutions on complex cross-border secured financings and project finance. As a member of the Firm's Restructuring, Insolvency and Distressed Assets Group, Roman is advising on insolvency and bankruptcy matters, financial aspects of restructurings and distressed assets deals.

Roman was a member of the team advising Ukrainian governmental authorities, including the Cabinet of Ministers of Ukraine, the Ministry of Finance of Ukraine on various aspects of development of the Ukrainian regulatory framework for the financial markets transactions and energy regulations; he was involved in research and drafting of legislation on gaming, securities, and public finance.

Roman obtained his Master of International Law degreed (with honours) from Kyiv International University, Institute of International Relations, Ukraine, in 2005. Roman is fluent in English, Ukrainian and Russian.
