George Koutouras

International Tax

George Koutouras is based in Taxand USA and is a Managing Director with Alvarez & Marsal Taxand, LLC in Chicago. He focuses on mergers and acquisitions (M&A) and international restructurings.

George brings more than 13 years of experience advising strategic and private equity clients, with a primary focus on the taxation of corporate acquisitions, dispositions, reorganizations, spin-offs, joint ventures, S corporations and consolidated returns. He has advised strategic buyers on post-acquisition integration transactions involving complex internal restructurings and entity conversion transactions (e.g., transactions involving disregarded entities). Also, George has advised clients on sell-side initiatives by optimizing tax efficiencies by analyzing, for example, stock versus asset sale scenarios; and attribute utilization and transactions that are wholly or partly tax deferred.

Prior to joining the USA Taxand practice, Alvarez & Marsal Taxand, LLC, George worked with Ernst & Young LLP and PricewaterhouseCoopers LLP. At Ernst & Young LLP, he worked with the National Tax Office in Los Angeles, where he advised western, U.S.-based clients across a variety of industries, including technology, pharmaceuticals and healthcare. Most recently, George worked with the Transaction Tax practice of PricewaterhouseCoopers LLP in Chicago.

For the past nine years, George has served as an adjunct professor on topics including Taxation of Corporations and Shareholders, Taxation of Consolidated Groups of Corporations, and Taxation of Corporate Acquisitions and Reorganizations, at University of Illinois-Urbana Champaign, Golden Gate University and the John Marshall Law School. He has co-authored four Bureau of National Affairs (BNA) Tax Management Portfolios and was honored by BNA as a distinctive author for 2008. The topics of his BNAs include taxation of stock redemption transactions; related party transactions; boot and non-qualifying consideration in reorganizations; and stock sales subject to section 304.

George’s prior work experience includes a rotation through the Washington National Tax Services office of Coopers & Lybrand (now PricewaterhouseCoopers) and a judicial clerkship with the United States Tax Court in Washington, D.C.

George received a bachelor's degree in finance and accounting from the University of Michigan. He earned a juris doctor from the University of Detroit, School of Law and a master of laws degree in taxation (LL.M.) from the Georgetown University Law Center in Washington, D.C. George is a member of the Illinois and Michigan Bar Associations.
