Limited Liability Partnerships - A Paradigm Shift

Since its inception, the Limited Liability Partnership (LLP) concept has attracted keen interest from several Indian groups who have either set up new LLPs or converted existing companies into LLPs. Foreign investment in LLPs has until recently been restricted. However, there's a shift occurring; the Cabinet Committee on Economic Affairs has now issued a press release approving a proposal to amend the exchange control regulations to permit Foreign Direct Investment in LLPs. LLPs now present themselves as a powerful opportunity to structure businesses in India. This workshop, hosted by Taxand India, will reveal key insight into the framework of LLPs in India, key issues, and recent announcements and case studies using LLP structures to benefit multinationals. Romania and Ukraine Business Insights, Polonia Palace Hotel, Warsaw, Poland, 7-8 June 2010 
Almost 90% of union funds have yet to be effectively allocated to Romania. This creates a unique opportunity for Polish investors. The seminar examined the current economic and tax climate having a direct influence on business development in Romania and Ukraine. A special presentation was dedicated to opportunities obtaining union funds in Romania. Accreo Taxand, Taxand Poland, organised the conference with the Polish-Romanian Chamber of Commerce, Polish - Ukrainian Chamber of Commerce and the Polish Chamber of Commerce. Honorary patrons were the Ambassadors of Romania and Ukraine in Poland. The conference's delgates consisted of presidents, and financial and investment directors of manufacturing, considering expansion into the east and south of Europe.

Doing Business in Russia, 12 April 2010

Pepliaev Group, Taxand Russia, organised a seminar in Singapore in collaboration with KhattarWong, Taxand Singapore, focussing on maximising the opportunities of ‘Doing Business in Russia’. The seminar was led by Roustam Vakhitov, Pepliaev Group, Taxand Russia, who discussed two key areas in depth: Tax and legal aspects of doing business in Russia, and the tax treaty between Russia and Singapore. Gurbachan Singh and Ban Su-mei, KhattarWong, Taxand Singapore joined the panel to give their insight and expertise on these topics in the Q&A session.

Netherlands / Russia

New Russian transfer pricing law and other international tax developments: impact on Dutch-Russian cross-border transactions - 8 March 2010
The new Russia transfer pricing law was passed in the first reading on 19 February. It will have significant impact on existing cross-border trade. Taxand Russia and Taxand Netherlands organised a client seminar to discuss the major features and implications of this draft law and other Russian international tax developments in Amsterdam on 8 March 2010. During the seminar Roustam Vakhitov of Pepeliaev Group, Taxand Russia, updated attendants on the new Transfer Pricing Law, anti-treaty shopping measures and considered typical risks of existing Russian tax planning solutions, including implications of the application of beneficial ownership test. Marc Sanders of VMW Taxand, Taxand Netherlands, commented on these typical risks from a Dutch perspective and delivered a presentation on Dutch innovation box as an alternative solution to traditional Russian licensing structures.

India

Quite on expected lines, the India Budget provided a pro-growth, pro-investment orientation and a sense of relief intermingled with optimism. At the same time, the Finance Minister reaffirmed his intention to usher in key tax reform by way of introducing the Direct Taxes Code and Goods & Services Tax with effect from April 1, 2011.

Gowlings, the Canadian member of Taxand recently held a cocktail reception for Taxanders and clients from around the world. Hosted by Gowlings in their Vancouver office the timing of the reception chouldn't have been better with the IFA Congress 2009 being held at the same time just down the road. The reception offered the opportunity to not only network with peers, but the chance to talk to Taxand experts from around the world. Individual meetings with Taxand specialists were organised in advance to enable bespoke discussions.

New Trends in International Tax for Russian Companies, June 10 2009
On 25 May 2009 in his Budget Speech, President Medvedev announced measures to be undertaken by the government against tax evasion and tax avoidance and in particular proposed changes to the provisions of some Russian agreements on the avoidance of double taxation. This seminar run by by the Moscow Times and Pepeliaev, Goltsblat and Partners, Taxand Russia, featuring fellow Taxand experts from Cyprus, Luxembourg and the Netherlands, addresses some key questions: What can international structures of Russian and foreign companies expect? What are the advantages and risks of using the international tax structures in Luxembourg, the Netherlands and Cyprus? What experience and results come from the measures taken against tax avoidance and evasion in these countries, and what are the optimal solutions for Russian businesses?

Luxembourg-Russia Tax Seminar, 4 June 2009
The Business Association of Luxembourg - Russia A.S.B.L. organised a seminar covering the key tax issues companies face when doing business between Russia and Luxembourg. Speakers included Roustam Vakhitov from Taxand  Russia, Julia Chernova from Taxand Luxembourg and Toon Meyer from LOMBARD International Assurance S.A. in Luxembourg.

London

Alvarez & Marsal Taxand UK launched the first in a series of UK tax breakfast seminars on May 7, 2009. This first seminar covered Tax Challenges in the Credit Crunch including practical examples of how to unlock cash through tax and debt restructuring. The outcomes of the latest UK Government budget announcement were discussed, in particular new legislation on the taxation of foreign profits. The guest speaker was Simon Whitehead from Dorsey & Whitney LLP who is involved in the current ECJ litigations. This event was attended by clients from a wide scope of industries including eight of the FTSE 100/Global 1000, and we are considering opening the seminars internationally through a corresponding webinar series for interested international parties.

Washington

At the joint meeting of the USA and India branches of the International Fiscal Association, May 27-29, 2009, Fairmont, Washington, Mukesh Butani, Partner, BMR Advisors, Taxand in India and IFA-India Programme Manager, chaired the session on PE issues in India and the USA: A Comparative Review. Shefali Goradia, Partner, BMR Advisors, was a key speaker in the inbound India panel.The conference delivered interesting deliberations on emerging international tax issues in today's constantly changing business environment, the rise in complexity of transactional structures and growing international and cross border deals. The conference, now in its second year, attracted several IFA-US branch members, leading international tax practitioners, representatives of Revenue department from both countries and tax professionals of large US multinationals. New Delhi

BMR Advisors - Taxand's member in India -  in collaboration with Infraline, hosted the fifth conference and interactive workshop on "Successful EPC Contracting - Fiscal and Legal Challenges" from April 16-18, 2009, at The Imperial hotel, New Delhi. The event provided detailed insights on the tax framework for the successful execution of engineering, procurement and construction contracts and in particular detail tax implications, tax risks and tax mitigants, contracting issues, commercial imperatives during bid submissions and practical aspects during tax assessments. The high-point of the event was the simulation of an EPC bid planning and presentation, involving interactive role play by (bidding teams comprising) the participants, with an objective of enabling application of the understanding and knowledge gained at the workshop to prepare and deliver an effective bid in a simulated environment. Moscow 

Eurofast Taxand, our member in Cyprus, organised a seminar in Moscow on February 26 2009 in collaboration with the Moscow Times which focuses on Cyprus Double Tax Treaties and provided a new picture based on recent developments. Kuala Lumpar

Taxand Malaysia jointly organised a Transfer Pricing Seminar with the Malaysian International Chamber of Commerce & Industry (MICCI) in Kuala Lumpur on 10 February 2009.

Taxand speakers from India and Canada joined our Malaysian team and a speaker from the Inland Revenue Authority of Singapore. The event was timely as Malaysia introduced specific TP and thin capitalisation provisions in Income Tax legislation taking effect from 1 January 2009.
